Terms of Service

1. Acceptance of Terms

By accessing StreamCoach ("the Service"), you agree to these Terms. If you are accessing the Service from outside Canada, you do so on your own initiative and are responsible for compliance with local laws.

2. Disclaimer of Warranties ("As Is")

TO THE FULLEST EXTENT PERMITTED BY LAW:

The Service is provided "AS IS" without warranties of any kind. We do not guarantee that:

• The Service will be uninterrupted or error-free.
• The Service will result in viewer growth, income, or career success.
• AI-generated content will be accurate or suitable for your audience.

3. Limitation of Liability (The "Shield")

UNDER NO CIRCUMSTANCES shall StreamCoach, its directors, employees, or agents be liable for any indirect, punitive, incidental, special, or consequential damages (including lost profits or data) arising out of your use of the Service.

Total Liability Cap: Our total cumulative liability to you for any claims shall not exceed the amount you paid to us in the 12 months prior to the claim.

4. User Conduct & Termination

You agree NOT to:

• Use the Service for illegal purposes in your jurisdiction.
• Violate the rights of others (including privacy and intellectual property).
• Attempt to harm, disrupt, or reverse-engineer our infrastructure.

We reserve the right to terminate your access immediately, without notice, for any violation of these terms.

5. Subscriptions & Refunds

• All Sales Final: Unless otherwise required by law, payments are non-refundable.
• Cooling-off Period (EU/UK): If you are an EU/UK consumer, you waive your right to a cooling-off period by accessing the digital content immediately upon purchase.

5.5 Lifetime Subscription ("Founder's Pass") Terms

Definition: "Lifetime" access refers to the lifetime of the Service, not the lifetime of the user. It grants you access to the "Pro" features for as long as StreamCoach continues to operate and support the Service.

Discontinuation of Service: We reserve the right to discontinue the Service (sunset) at any time. If the Service is discontinued, your "Lifetime" subscription will terminate. You will not be entitled to a refund if the Service has been active for at least 12 months from your date of purchase.

Future Features: Lifetime access covers current "Pro" features and standard updates. It does not guarantee access to future "Add-on" products, separate modules, or features that rely on third-party APIs with significant per-usage costs (unless explicitly stated otherwise).

Non-Transferable: Lifetime subscriptions are tied to your specific account and cannot be sold, transferred, or assigned to another person.

6. Governing Law & Dispute Resolution (CRITICAL)

6.1 Jurisdiction

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

6.2 Exclusive Venue

You agree that any legal action or dispute must be resolved exclusively in the courts located in Vancouver or Surrey, British Columbia. You hereby consent to the personal jurisdiction of these courts.

7. Class Action Waiver (US Protection)

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. You agree that any dispute will be resolved on an individual basis only.

8. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction (e.g., if a specific country blocks the "Liability Cap"), that specific provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

9. Sanctions & Export Policy

You represent that you are not located in a country subject to a U.S. or Canadian government embargo (e.g., Russia, Iran, North Korea) and are not a prohibited person under applicable export control laws.
